Article 2 – Applicability
These terms and conditions apply to every offer, quotation and/or agreement between THE PEANUT BUTTER STORE (“THE PEANUT BUTTER STORE”) and a contracting party (the “Customer”).
Any general terms and conditions from the Customer are expressly excluded from applicability.
The invalidity or unenforceability of any part of these terms and conditions does not affect the validity or enforceability of the remaining provisions. In such a case, the parties shall replace the invalid or unenforceable clause with a valid one whose effect most closely resembles that of the original clause.
THE PEANUT BUTTER STORE reserves the right to amend these terms and conditions at any time. In such cases, the amended terms will be shared with the Customer, who then has one month to terminate the agreement in accordance with Article 8.1.
Article 3 – The Offer
All offers and quotations from THE PEANUT BUTTER STORE are non-binding. An offer or quotation lapses if the product in question is no longer available.
THE PEANUT BUTTER STORE cannot be held to an offer or quotation if the Customer can reasonably understand that it contains an obvious error or typographical mistake.
The Customer has no grounds for complaint if the delivered product differs slightly in appearance from its image, unless the product is materially different.
If the Customer's acceptance deviates from the original offer (even on minor points), THE PEANUT BUTTER STORE is not bound by it. No agreement is concluded based on the altered acceptance.
Article 4 – The Agreement
The agreement is established when the Customer accepts the offer and meets the conditions set out therein.
If the Customer accepts the offer electronically, THE PEANUT BUTTER STORE will confirm receipt of acceptance electronically. Until receipt has been confirmed, the Customer may dissolve the agreement.
THE PEANUT BUTTER STORE reserves the right, within legal boundaries, to assess whether the Customer can meet their payment obligations, as well as any relevant facts for responsibly entering into the agreement. If there are valid reasons not to proceed, THE PEANUT BUTTER STORE may refuse the order or attach special conditions.
The Customer is required to read and observe the usage and warning instructions provided with the delivered products.
THE PEANUT BUTTER STORE has the right to outsource certain activities to third parties.
If the execution of the agreement requires information from the Customer, this period will not commence until the correct and complete data has been received.
Article 5 – Right of Withdrawal
THE PEANUT BUTTER STORE excludes the right of withdrawal for products that are perishable or have a short shelf life.
If a product is delivered in an unsatisfactory condition, a replacement can be arranged after consultation.
Article 6 – Price and Payment
THE PEANUT BUTTER STORE reserves the right to increase prices three months after the conclusion of the agreement, provided such increases are not unreasonably burdensome to the Customer.
Amounts owed by the Customer shall be paid via bank transfer or directly to THE PEANUT BUTTER STORE.
Article 7 – Delivery and Fulfilment
The delivery address is the one provided by the Customer. THE PEANUT BUTTER STORE only delivers to addresses where someone is available to accept the product (not to P.O. boxes).
The Customer is responsible for notifying any change of address in a timely and correct manner.
THE PEANUT BUTTER STORE is not liable for any damages resulting from incorrect or incomplete (address) information provided by or on behalf of the Customer.
Ownership of the products transfers to the Customer only once all related payments have been completed in full, including any payments due for breach of agreement.
Article 8 – Duration, Termination and Renewal
In the event of liquidation, (application for) suspension of payments or bankruptcy, attachment (not lifted within 3 months), debt restructuring or any other situation that prevents the Customer from freely managing their assets, THE PEANUT BUTTER STORE has the right to cancel the agreement or order with immediate effect, without being liable for compensation. All outstanding claims will become immediately due.
If the Customer cancels an order in full or in part, all costs already incurred — including goods prepared, transport, and labour — will be fully charged to the Customer.
Article 10 – Force Majeure
THE PEANUT BUTTER STORE is not obliged to fulfil any contractual obligation if hindered by circumstances beyond its control (force majeure).
Force majeure includes but is not limited to:
(i) force majeure on the part of suppliers,
(ii) non-compliance by suppliers,
(iii) failure or defect in equipment, software or materials of third parties,
(iv) government measures,
(v) power outages,
(vi) internet or telecom failures,
(vii) war,
(viii) occupation of the workplace,
(ix) strikes, and
(x) general transport issues.
THE PEANUT BUTTER STORE may suspend its obligations during the force majeure period. If this continues for more than two months, either party may terminate the agreement without compensation.
Article 11 – Complaints
Complaints submitted to THE PEANUT BUTTER STORE will be responded to within 14 days of receipt.
If a complaint requires more time, the Customer will receive an acknowledgement and an estimated timeframe for resolution within the same 14-day period.
Article 12 – Disputes
All agreements between THE PEANUT BUTTER STORE and the Customer are governed exclusively by Dutch law.
